A prominent law firm is seeking a Principal Attorney with extensive experience in securities law and capital markets transactions. Location

Duties

  • Advise public and private companies on securities compliance, regulatory filings, and corporate governance

  • Lead transactions involving public offerings, private placements, and other capital market activities

  • Prepare and review public company reporting, including periodic SEC filings

  • Manage complex transactions independently and collaboratively with cross-practice groups

  • Counsel clients on corporate governance issues, including board and shareholder matters

  • Stay abreast of changes in securities laws and corporate governance practices

  • Support clients through all phases of corporate financing and capital markets initiatives

  • Participate in business development and client relationship activities

Requirements

  • A portable book of business is required

  • Minimum 7 years of experience in securities law and capital markets transactions

  • Strong understanding of public company obligations, SEC reporting, debt and equity market transactions

  • Ability to work independently and collaboratively across practice areas

  • Proven ability to handle multiple projects with competing deadlines

Education

  • Juris Doctor (.) from an ABA-accredited law school

Certifications

  • Admission to practice law in at least one . jurisdiction

  • Licensure in Washington, Oregon, New York, or Washington, . preferred
