A prominent law firm is seeking a Principal Attorney with extensive experience in securities law and capital markets transactions. This opportunity offers a chance to work with a range of clients from emerging businesses to large public companies across diverse industries. Candidates should be highly skilled in public offerings, SEC compliance, corporate governance, and related regulatory matters. A portable book of business is required for this role.

Advise public and private companies on securities compliance, regulatory filings, and corporate governance
Lead transactions involving public offerings, private placements, and other capital market activities
Prepare and review public company reporting, including periodic SEC filings
Manage complex transactions independently and collaboratively with cross-practice groups
Counsel clients on corporate governance issues, including board and shareholder matters
Stay abreast of changes in securities laws and corporate governance practices
Support clients through all phases of corporate financing and capital markets initiatives
Participate in business development and client relationship activities
A portable book of business is required
Minimum 7 years of experience in securities law and capital markets transactions
Strong understanding of public company obligations, SEC reporting, debt and equity market transactions
Ability to work independently and collaboratively across practice areas
Proven ability to handle multiple projects with competing deadlines
Juris Doctor (.) from an ABA-accredited law school
Admission to practice law in at least one . jurisdiction
Licensure in Washington, Oregon, New York, or Washington, . preferred
Exceptional legal writing, research, and analytical skills
Strong client-service approach and communication abilities
Highly organized with excellent attention to detail
Ability to build trusted client relationships and foster business development
