Job Title: Commercial Transactions Counsel

Job Responsibilities:
As a Commercial Transactions Counsel at the company, you will be responsible for managing all aspects of commercial contracts and collaborating with various functional teams such as Sales, Marketing, Research & Development, and Global Operations. Your primary duties will include:

- Leading the drafting, reviewing, and negotiating of commercial agreements, including software licenses, sales, distribution, partnership, supply, subcontracting, agency, and confidentiality agreements, in accordance with company policies and guidelines.
- Managing contract negotiations in line with strategies defined in collaboration with relevant functions and legal teams.
- Collaborating with internal business clients and the executive team to secure necessary internal approvals before finalizing contracts.
- Providing proactive legal counsel to internal business teams, leveraging a strong understanding of legal and regulatory frameworks and industry standards applicable to the company’s products and services.
- Offering prompt legal advice and appropriate solutions to a wide range of complex commercial legal questions and requests from internal clients across different functional groups.
- Developing strategies for organizing contracts within a document management system.
- Applying knowledge of the company's business model to enhance business processes for support, negotiation, approval, and execution of commercial contracts while minimizing risk factors with customers and vendors.
- Contributing to other legal team needs, goals, and initiatives as required.

Education and Experience Information:
The ideal candidate for the role of Commercial Transactions Counsel will possess the following qualifications and experience:

- A Juris Doctor (JD) degree or equivalent and admission to at least one US state bar.
- A minimum of 4 to 7 years of experience working at a law firm and/or as in-house counsel supporting multinational corporations.
- Direct experience in negotiating commercial technology contracts for a multinational corporation.
- Strong presentation and communication skills with the ability to articulate complex issues clearly and simply, both in writing and in person.
- Technical excellence and a commercial approach to problem-solving.
- The ability and desire to work both collaboratively and autonomously.
- The capability to navigate complex issues in both developed and emerging markets.
- A willingness to support a small legal team with a variety of issues, including data privacy, employment, and information technology concerns.
