AVP, Associate Counsel (Strategic Transactions)
Job Responsibilities:
The AVP, Associate Counsel (Strategic Transactions) is responsible for providing a broad range of legal support for the company's strategic transactions, particularly focusing on mergers and acquisitions. The primary duties include advising on transactional and financing matters, supporting merger and acquisition opportunities, and handling minority equity investments. Additional responsibilities involve providing legal support for advisor practice acquisitions, capital financing initiatives, and succession planning. The role requires drafting and negotiating letters of intent, term sheets, definitive acquisition agreements, and closing documentation. The attorney will also contribute to developing and improving forms and procedures related to the company's internal legal acquisition processes. They will coordinate with and manage external counsel regarding strategic transactions and collaborate with colleagues from various departments, such as corporate development, finance, and legal, to manage transactions from the letter of intent to post-closing. Additional support responsibilities may include assisting with capital markets transactions, supporting investor relations and corporate communications tasks, and providing administrative and logistical support for board of directors and committee matters.
Education and Experience Information:
Candidates for the AVP, Associate Counsel (Strategic Transactions) position must have a minimum of 2 to 4 years of transactional experience obtained at a sophisticated law firm or equivalent in-house experience with a sophisticated purchaser. Experience in the financial services industry is considered a plus. The candidate must possess a Juris Doctorate from an accredited institution of higher education and be a member in good standing of a state bar. The ideal candidate should have substantial expertise in mergers and acquisitions and/or venture capital financing transactions.
Salary Information:
The pay range for the AVP, Associate Counsel (Strategic Transactions) role is between $141,800 and $236,400 per year. The actual base salary offered will vary depending on factors such as relevant skills, prior experience, education, the base salary of internal peers, demonstrated performance, and geographic location.
