Job Overview:
A prominent law firm is seeking a Transactional Associate Attorney with a minimum of four years of experience in oil and gas or traditional energy sectors. This is a full-time, partnership-track role based in Houston, TX. The ideal candidate will have a background in handling a variety of transactional matters, particularly in upstream and midstream oil and gas operations. This opportunity offers the chance to work on high-impact transactions in the energy sector, including energy transition projects.

Location:

  • Houston, TX

Duties:

  • Advise clients on transactions such as mergers, acquisitions, divestitures, and joint ventures

  • Draft and negotiate commercial contracts, including:

    • Development and operating agreements

    • Gathering, transportation, and processing agreements

    • Supply and offtake contracts

  • Provide counsel on agreements related to carbon capture and energy transition initiatives

  • Collaborate with partners and cross-functional teams to close complex energy-related deals

  • Manage due diligence, transaction documentation, and risk assessment processes

Requirements:

  • Minimum of 4 years of legal experience in oil and gas or traditional energy transactions

  • Proficiency in drafting and negotiating key industry agreements

  • Experience in both upstream and midstream energy sectors preferred

  • Interest or experience in energy transition (., carbon capture) a plus

  • Must be eligible for admission to the Texas Bar, with active membership required within one year

Education:

  • Juris Doctor (.) from an accredited law school

Certifications:

  • Member of the Texas Bar (preferred; required within one year of hire)

Skills:

  • Deep understanding of energy industry operations and regulatory framework

  • Strong negotiation and drafting abilities

  • Excellent analytical and problem-solving skills

  • Effective communication and interpersonal skills

  • Ability to manage multiple high-stakes transactions concurrently
