Job Title: Senior Corporate Counsel

Job Responsibilities:
- Lead the corporate/securities team.
- Draft and provide counsel in support of SEC and Nasdaq filings, coordinating with Asia-based colleagues on securities law and stock exchange filings with HKEx and STAR Market. This includes handling current and periodic reports, announcements, proxy statements, and other regulatory filings and reports.
- Serve as a subject matter expert on compliance and disclosure items, advising on and drafting new disclosures, and coordinating and assisting with financial disclosures.
- Support the Corporate Affairs teams with tasks such as press release, website, and communications review.
- Provide legal support for various transactions including equity investments, joint ventures, credit facilities, corporate financing, corporate restructurings, and mergers and acquisitions. This involves due diligence, negotiation of terms, drafting of documentation, and regulatory filings.
- Support the Company's environmental, social, and governance (ESG) and other corporate governance efforts.
- Assist with Board and committee meetings, the Company’s Insider Trading Policy, and other corporate policies.
- Provide counsel in support of the Company’s equity plans and programs and grant agreements, ensuring securities law compliance and disclosure.
- Assist with the development and maintenance of relevant securities, general corporate, and corporate governance agreements and forms.
- Improve current legal processes, including creating playbooks, handbooks, and cheat sheets.
- Engage and manage the work of outside counsel and advisors.

Education and Experience Information:
- Juris Doctor from an accredited law school in the .
- 8+ years of SEC reporting experience at a law firm and/or as in-house counsel. Experience with biotech or pharma companies is strongly preferred.

- Excellent drafting, editing, negotiation, interpersonal, and communication skills.
- Ability to evaluate legal exposure, manage risk, and interpret and apply laws, regulations, case law, statutes, and policies to provide expert advice.
- Strong business acumen and the ability to contribute strategically to the Company’s business.
- Team player with the ability to collaborate proactively with cross-functional teams and interact effectively with all levels within the Company.
- Strong working knowledge of . securities laws and regulations and the ability to quickly learn, interpret, and apply changes in such laws and regulations and policies.
- Demonstrated ability to collaborate as well as work independently, balancing competing priorities in a fast-paced, deadline-driven environment with a high level of professionalism.
- Highly detail-oriented.
- Ability to handle confidential and proprietary information with excellent discretion and judgment.
- Self-motivated, able to work independently, reliable, and responsive.
- Flexibility and willingness to accept new responsibilities as needed.
- Swiss corporate governance experience is a plus.

Supervisory Responsibilities:
- This position will have managerial responsibility over other corporate counsel and paralegals, as well as budgetary discretion.

Travel:
- Up to 20%

Computer Skills:
- Proficiency in the Microsoft Office Suite, Outlook, Word, Excel, SharePoint, EDGAR, Workiva

Salary Information:
- Salary Range: $230, - $300, annually
