Job Overview:
A rapidly growing boutique corporate law firm is seeking an experienced Senior Corporate Associate with at least 5 years of experience in sophisticated M&A, private equity, and venture capital transactions. This role offers the opportunity to work closely with entrepreneurs and high-growth businesses. The ideal candidate will be responsible for providing high-level guidance on various corporate matters, including venture capital, private equity, and mergers and acquisitions, while managing complex deals from inception to close.

Location:

  • Boston, MA

Duties:

  • Provide high-level guidance and innovative solutions to clients on venture capital, private equity, debt and equity financings, mergers and acquisitions, strategic licensing, and other corporate work

  • Manage all aspects of transactions from inception to close, including client management

  • Prepare and review acquisition and financing agreements and related documentation

  • Proactively manage all regulatory, risk, and compliance matters

  • Draft, review, and negotiate contracts

  • Act as a trusted advisor to clients, offering strategic legal counsel

  • Build and maintain strong client relationships and provide exceptional legal services in a fast-paced environment

Requirements:

  • At least 5 years of experience at a large firm handling corporate, private equity, and M&A transactions

  • Extensive experience in venture capital, private equity financings, acquisitions, divestitures, licensing, and general contract negotiation

  • JD with high academic achievement

  • Strong interpersonal, communication, analytical, technical, and negotiation skills

  • Ability to proactively manage multiple priorities and transactional deadlines

  • Proven ability to develop strong client relationships

  • Member of the Massachusetts Bar

  • Knowledge of federal and state securities laws

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Licensed to practice law in Massachusetts

Skills:

  • Expertise in M&A, private equity, venture capital transactions

  • Strong drafting, negotiation, and contract review skills

  • Client relationship management and advisory

  • Ability to manage complex transactions and meet tight deadlines

  • Excellent communication and negotiation skills
