Senior Structured Finance Associate

A law firm seeks a seasoned finance attorney to join its dynamic Boston team. This role sits at the nexus of private credit, fund finance, and collateralized loan obligations (CLOs), offering a chance to work on cutting-edge transactions for leading asset managers, direct lenders, and equity investors.
Duties
Lead and manage complex credit transactions from inception through closing, including CLOs, asset-based lending, and other structured credit arrangements
Collaborate with deal teams to oversee due diligence, negotiate key economic and structural terms, and coordinate closing logistics
Draft, review, and revise transactional documents such as credit agreements, security documents, intercreditor agreements, and ancillary materials
Counsel clients on transactional strategy, market trends, and risk mitigation techniques
Coordinate with other practice groups (., real estate, tax, and regulatory) to ensure seamless cross-border and multi-jurisdictional deal execution
Mentor junior attorneys and guide them on complex structuring and drafting issues
Requirements
Minimum of 6 years of hands-on experience in finance transactions, including private credit or structured credit deals
Proven track record advising borrowers, lenders, private equity sponsors, and/or administrative agents on complex financings
Demonstrated ability to independently manage significant portions of deal negotiations and closing processes
Comfort working with a variety of structured credit products (., CLOs, fund finance, NAV-based facilities, subscription-line credit)
Excellent organizational skills with the capacity to balance multiple transactions in a fast-paced environment
Strong written and verbal communication skills, with an emphasis on persuasive advocacy and clear client updates
Education
Juris Doctor (.) degree from an accredited law school
Certifications
Admission to the Massachusetts Bar (or eligibility to waive into Massachusetts)
Any additional professional certifications related to finance or securities law (., FINRA licenses) are a plus
Skills
In-depth knowledge of structured finance principles, including securitization and credit underwriting
Sharp analytical abilities to assess market trends, credit metrics, and legal risks
Proficiency with document automation tools and Microsoft Office Suite (Word, Excel, PowerPoint)
Ability to work both collaboratively within a team and autonomously on individual deal components
Aptitude for mentoring junior colleagues and fostering a supportive team environment
