Corporate Counsel
Job Responsibilities:
The Corporate Counsel will report directly to the Associate General Counsel, Commercial & Corporate (AGC), and will provide legal advice, services, and counsel across various in-house legal practice areas, with a focus on commercial business. Key responsibilities include:
- Drafting, reviewing, and negotiating a wide range of commercial agreements to support the company's multi-national operations, including supply, manufacturing, distribution, sales, marketing, procurement, technology, and software-related agreements.
- Providing commercial support and legal advice to cross-functional company teams and serving as a liaison with functional teams and leaders on the status and strategy for negotiating and completing agreements and projects.
- Creating and revising contract templates, participating in training on template use, updating templates to reflect changes in applicable laws and company policies, and creating playbooks.
- Assisting with the streamlining and improvement of the contracting process, including the use of contract management tools and potentially implementing artificial intelligence tools.
- Monitoring applicable federal, state, and international laws, rules, and regulations, advising business partners on relevant changes and trends, and providing necessary training.
- Utilizing Contract Lifecycle Management software to integrate contract templates and playbooks, preparing instructions and training materials, and conducting training sessions.
- Influencing team members by identifying and analyzing options that mitigate risk while driving business priorities.
- Implementing projects and protocol improvements as a key member of the legal team.
- Providing input and best practices research and recommendations into company policies.
- Managing additional responsibilities and project management as warranted by legal department and business priorities.
- Providing coverage for other legal team members as needed and expanding areas of responsibility over time.
Education and Experience Information:
- Bachelor’s degree and Juris Doctor degree from an accredited law school.
- Active California Bar license or ability to qualify as CA Registered In-House Counsel.
- Strong academic credentials.
- 5-7 years of progressively responsible commercial legal experience in a law firm and/or corporation, with at least 3 years of in-house legal practice.
- 4+ years of experience drafting and negotiating commercial agreements, including supply, manufacturing, distribution, sales, master services, independent contractor, marketing, operations, and software licenses.
- Experience in the Consumer Packaged Goods industry, operations, and/or procurement is a plus.
- Practical approach to legal communications, contract drafting, problem-solving, and the ability to translate legal issues into clear guidance for non-lawyers.
- Proficiency with Contract Lifecycle Management systems and processes.
- Excellent verbal and written communication and presentation skills.
- Strong business judgment and the ability to assess legal risk while providing practical, actionable advice.
- Strong client service orientation and an ability to deal effectively with a wide range of personnel.
- Ability to organize and supervise complex projects, develop results-oriented strategies, and monitor results.
- Ability to manage multiple projects and respond to urgent business demands.
- Team player with the ability to work independently and think strategically.
- Comfort with ambiguity, urgency, ongoing prioritization, risk calibration, and change.
- Spanish language fluency is a plus.
- Additional experience in litigation, corporate finance, corporate governance, real estate, labor and employment, privacy, intellectual property, import/export, food safety, and regulatory compliance is welcome.

The salary range for the Corporate Counsel position is $131, - $224,.
