Job Overview:
A nationally recognized law firm is seeking a mid-level Corporate Transactions Associate with 4–6 years of experience to join its M&A and Corporate Finance practice. This position offers the opportunity to work on complex deals including leveraged buyouts, corporate governance, and high-level commercial transactions. The ideal candidate will be detail-oriented, client-focused, and possess a collaborative mindset. ESOP M&A experience or interest is a plus.

Location:

  • New York, NY

Duties:

  • Advise clients on M&A transactions, corporate finance matters, and complex commercial agreements

  • Manage due diligence processes and coordinate transaction closings

  • Draft and negotiate purchase agreements, disclosure schedules, and ancillary deal documents

  • Provide guidance on corporate governance and compliance issues

  • Collaborate with internal subject matter experts across various practice areas

  • Maintain and strengthen relationships with clients, investment bankers, and external advisors

  • Participate in business development and client engagement initiatives

Requirements:

  • 4 to 6 years of experience in a large or mid-size law firm environment handling M&A and corporate finance work

  • Demonstrated success managing multiple client engagements simultaneously

  • Proven ability to work independently and as part of a coordinated deal team

  • Willingness to contribute to a collaborative, team-based culture

Education:

  • Juris Doctor (.) degree from an accredited . law school

Certifications:

  • Admission to the Bar in the jurisdiction of the office location (NY)

  • Must be in good standing

Skills:

  • Strong written and oral communication skills

  • Excellent analytical and problem-solving capabilities

  • Meticulous attention to detail and accuracy

  • High degree of professionalism and sound judgment

  • Ability to thrive in a fast-paced, deadline-driven environment

  • Experience or interest in ESOP M&A transactions (preferred)
