Job Title: Transaction Tax Senior Associate
Job Responsibilities:
As a Transaction Tax Senior Associate, you will be at the forefront of innovative tax planning, consulting, and compliance skills on M&A projects for multiple clients, supported by a dynamic environment and robust resources. Key responsibilities include:
- Leading active communication during engagements to manage expectations, ensuring client satisfaction, meeting deadlines, and effectively leading change efforts.
- Collaborating closely with the Transaction Tax team and Transaction Services colleagues, focusing on the tax aspects of mergers and acquisitions and other transaction-related work.
- Assisting in conducting buy-side and sell-side tax due diligence, advising on tax-efficient acquisitions and divestments, and advising clients on tax-efficient restructurings.
- Reviewing taxes in financial models and transaction documents.
- Engaging in researching tax issues, preparing succinct and deal-driven written communication, helping clients with responses to tax authorities, and strategizing on the tax aspects of transactions.
- Assisting Senior Managers in project development, client pursuit initiatives, and managing priority accounts.
- Performing analysis of a client’s tax attributes related to business events, including tax basis of assets and stock, tax accounting for M&A-driven transaction costs, and corporate earnings and profits.
- Conducting detailed analyses of net operating loss/tax credit carry forward limitations pursuant to IRC Section 382 for both private and public clients.
- Performing other duties as assigned.
Education and Experience Information:
- A Bachelor’s degree in Accounting is required. A Master’s in Taxation/LLM in Taxation is strongly preferred. Alternatively, a Masters or . in Economics, Statistics, Public Policy, Mathematics, Business, Finance, Financial Engineering, Management Science and Engineering, Financial Mathematics, Industrial Engineering, or Operations Research is acceptable.
- A minimum of two years of progressive federal tax consulting and/or compliance experience in public accounting or a combination of corporate and public accounting experience is required.
- Experience in Corporate, S-Corp., and/or Partnership returns is necessary.
- Excellent analytical, technical, and tax accounting/technology skills with proficiency in US GAAP, tax compliance, corporate consolidated returns, consolidated federal tax returns, partnership returns, and combined state tax returns are essential.
- Exceptional client service and communication skills with a demonstrated ability to develop and maintain outstanding client relationships are expected.
- Computer expertise, including knowledge of tax software and technology, including spreadsheet modeling, is required.
- The ability to travel as needed is necessary.
