Job Title: Associate - Capital Markets & Securities

Job Responsibilities:
The position of Associate in Capital Markets & Securities involves working with regional and national clients as part of the Capital Markets & Securities and Corporate Governance practice team. The responsibilities include:
- Possessing knowledge of federal securities laws, rules, regulations, and listing standards.
- Working on public primary and secondary securities offerings, including Forms S-1, S-3, and S-4, as well as private offerings.
- Preparing and reviewing various forms and statements such as Forms 8-K, 10-Q, and 10-K, registration statements, Section 16 filings, 10b5-1 trading plans, annual proxy statements, and other related filings.
- Assisting with the maintenance of governance policies and practices, including committee charters, corporate governance guidelines, insider trading policies, and preparation of board materials and minutes.
- Understanding the requirements and mechanics of annual shareholder meetings.
- Providing securities support for or assisting with mergers and acquisitions, strategic investments, and other corporate transactions.
- Demonstrating effective and detail-oriented writing and oral communication skills.
- Managing a fast-paced workload while maintaining priorities and anticipating issues.
- Exhibiting professional commitment and interpersonal skills necessary for success in a collaborative cross-office team environment.

Education and Experience Information:
The candidate should have 3-5 years of experience in the relevant field. Admission to practice law in the state where the candidate will reside is required.
