Job Overview:
A leading law firm is seeking a mid-level Associate with 3 to 6 years of experience to join its Private Investment Funds practice within the broader Private Equity group. The ideal candidate will have substantial experience managing secondary and liquidity transactions involving private equity sponsors and secondary investors. This role is suited for an attorney with strong transactional skills, the ability to manage deal components independently, and a collaborative approach to team-based work. Experience in general fundraising and co-investment transactions is also valued.

Location:

  • New York, NY

Duties:

  • Advise private equity sponsors and secondary investors on complex secondary and liquidity transactions

  • Manage key components of transactions from initiation through closing

  • Draft and negotiate fund documentation, side letters, and transactional agreements

  • Coordinate with internal teams and clients throughout the transaction lifecycle

  • Contribute to deal strategy, structuring, and execution

  • Assist with fundraising and co-investment matters, as needed

Requirements:

  • 3 to 6 years of legal experience in private equity, private investment funds, or secondary transactions

  • Demonstrated ability to manage significant aspects of complex deals

  • Experience working in collaborative team settings as well as handling projects independently

  • Strong client-service orientation and ability to handle sophisticated institutional clients

  • Outstanding academic credentials from an accredited law school

  • Prior experience at a top-tier law firm preferred

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the New York State Bar (or eligibility to obtain admission promptly)

Skills:

  • In-depth understanding of private equity fund structures and transaction mechanics

  • Strong drafting, negotiation, and analytical skills

  • Excellent verbal and written communication abilities

  • Ability to manage multiple high-volume transactions concurrently

  • Professional judgment, attention to detail, and problem-solving abilities
