Job Title: Commercial Counsel (US Remote)

Job Responsibilities:
- Provide legal advice, guidance, and expertise on routine transactional agreements and legal matters, impacting the company's revenue and risk.
- Prepare Request for Proposal responses and handle the negotiation, interpretation, and administration of contracts, subcontracts, and licensing agreements.
- Ensure contracts comply with company policy and applicable laws/regulations.
- Develop and implement robust risk management strategies.
- Draft, review, edit, finalize, and negotiate routine transactional agreements including sales/supply, reseller/distribution, end-user license, professional services, hosting, Software as a Service (SaaS), subscription agreements, and statements of work (SOWs).
- Manage contract documentation and approval flows to ensure consistency with internal processes.
- Assist with contract disputes by understanding issues, researching, providing guidance on solutions, and drafting settlement agreements.
- Respond to general legal inquiries related to contract disputes, regulatory issues, and new business initiatives.
- Provide counsel to achieve overall business objectives while complying with laws and regulations and avoiding risks. This includes supporting product development with legal risk assessments and ensuring compliance with government and customer requirements.
- Maintain, revise, and update contract templates.
- Stay informed on current trends and best practices in specialized legal areas.
- Work under general supervision and determine when to escalate complex matters to the manager.

Education and Experience Information:
- Requires a Juris Doctor Degree.
- A minimum of 2 years of experience in corporate transactional, contracts negotiation, and/or commercial transaction experience is required.
- Admission to the Bar of at least one state or admitted to practice in at least one jurisdiction if international equivalent.
- Experience in technology matters, including software licensing, subscription, hosted environments, telecom, government contracts, and intellectual property is preferred.
- Experience with legal policies and procedures and ability to identify potential legal issues.
- Demonstrated negotiation, consultation, and analytical skills.
- Strong interpersonal, presentation, and communication skills.

Salary Information:
- Target Base Salary Range: $85,000 - $110,000 USD.
- Pay within this range varies and depends on job-related knowledge, skills, and experience. The actual offer will be based on the individual candidate.

Additional Information:
- This is a full-time position that may be remote.
- Travel requirements are under 10%.
- No relocation provided.
