Job Title: Principal, Trade Counsel

Job Responsibilities:
The Principal, Trade Counsel at the company is responsible for supporting the implementation and enforcement of policies to ensure compliance with . trade regulations. This includes adherence to rules set by the Department of Commerce, Department of State, Customs and Border Protection, Department of the Treasury, and any other relevant exporting regulatory agencies. Key responsibilities include:

- Providing guidance to company leadership regarding the interpretation of various . Government trade laws and regulations, notably the International Traffic in Arms Regulation (ITAR) and the Export Administration Regulations (EAR), as well as the Office of Foreign Assets Control (OFAC).
- Representing the Trade Compliance function in dealings with all . Government enforcement agencies.
- Supporting trade investigations as needed and reviewing initial and final voluntary disclosures related to violations of . Government trade laws and regulations.
- Supporting the review and management of corrective actions arising from compliance concerns.
- Supporting internal assessment programs as needed.
- Conducting due diligence assessments concerning trade compliance for mergers, acquisitions, and/or divestitures.
- Interpreting and providing regulatory guidance on . Government trade regulations, including import/export transactions, 22 CFR Part 129 and 130 obligations, sanctions, and anti-bribery risks.
- Coordinating compliance actions with Corporate Security involving . Government enforcement activities or suspicious international transactions.
- Supporting Compliance Assistance Visits to divisions/subsidiaries to assess compliance posture.
- Coordinating compliance audits with Internal Audit for selected divisions/subsidiaries.
- Traveling domestically and internationally, up to 20% of the time.

Education and Experience Information:
- A Bachelor's degree with 12 years of prior export/import trade compliance experience, or a Graduate Degree with 10 years of prior experience is required. In lieu of a degree, a minimum of 16 years of related experience is necessary.
- A Juris Doctor (JD) from an American Bar Association accredited law school is required, and candidates must be admitted to and in good standing with a State Bar (. or other).
- A minimum of 5 years of experience in disclosure writings and submittals.
- At least 5 years of experience with International Traffic in Arms Regulation (ITAR) and Export Administration Regulations (EAR).
- At least 5 years of experience with . trade sanctions programs, including the Office of Foreign Assets Control (OFAC).
- Must have the ability to obtain a . Secret Security Clearance.

Preferred Additional Skills:
- Ability to interpret . Government laws and regulations and assess risk management aspects.
- Familiarity with automated trade compliance programs.
- Experience with Consent Agreements.
- Previous assignments in military operational and/or policy positions.
- Technical background.
- Background in the Foreign Military Sales program.
- Familiarity with other trade compliance regimes such as BATF, FDA, etc.

Salary Information:
In compliance with pay transparency requirements, the salary range for this role in Colorado State, Hawaii, Illinois, Maryland, Minnesota, Vermont, and New York State is $130,500-$242,500. For California, Seattle, Washington ., Maryland Greater Washington . area, the city of Denver, Washington State, and New York City, the salary range for this role is $150,000-$278,000. This is not a guarantee of compensation or salary, as the final offer amount may vary based on factors including but not limited to experience and geographic location.
