Job Title: Strategic Contracts Counsel

Job Responsibilities:
- Negotiate and draft supply, sales, and R&D agreements focusing on technology, innovation, and precision farming, such as connectivity and precision guidance technologies, digital applications, display components, automated and autonomous technologies.
- Provide M&A/VC transaction support, including due diligence, contract review, negotiation and drafting, and post-closing integration activities.
- Collaborate closely with intellectual property and data privacy teams to ensure coherent execution of technology, innovation, and precision farming strategies. Support negotiation of R&D and licensing agreements.
- Maintain expert knowledge and awareness of legislation, regulations, and case law concerning technology and commercial contract issues to reduce business risk and ensure legal compliance.
- Offer practical, business-focused advice to the executive team regarding technology and commercial contract issues.
- Partner with business and legal teams to determine negotiation strategies with suppliers and other partners.
- Manage in-house counsel focused on procurement and supply chain, oversee legal review and negotiation of supply, service, and OEM wholesale agreements, and provide training for business clients on technology and commercial contract issues.
- Manage outside counsel, fees, and case budgets for situations requiring external support.

Education and Experience Information:
- Hold a . and current membership with the appropriate state bar.
- Minimum 12 years of related experience at a large corporate law firm or in-house with relevant contracting and counseling experience.

- Willingness to respond to clients and counsel beyond regular business hours when needed.

Salary Information:
- The annual salary for this role is $180,000-$220,000 plus any applicable bonus. Actual salaries will vary based on factors such as skill, experience, and qualification for the role.

Additional Information:
- The position reports directly to the Vice President & General Counsel for North America and provides counsel to internal clients, specifically Procurement and Business Development, along with the company's Technology, Innovation, Vehicle & Implements, Precision Technology, User Experience, and Powertrain units.
- The role is eligible for a hybrid work arrangement, consisting of both in-person client contact and remote work, based out of offices in Oak Brook, IL, or Racine, WI.
