AVP, Associate Counsel (Strategic Transactions)

Job Responsibilities:
The AVP, Associate Counsel (Strategic Transactions) is primarily responsible for providing legal support for the company's strategic transactions, particularly focusing on mergers and acquisitions. Key responsibilities include:

- Advising on transactional and financing matters with a focus on mergers and acquisitions in connection with the company's liquidity and succession solutions.
- Providing legal advice for merger and acquisition opportunities, including minority equity investments.
- Supporting advisor practice acquisitions, capital financing initiatives, and succession planning efforts.
- Drafting and negotiating letters of intent, term sheets, definitive acquisition agreements, and closing documentation.
- Contributing to the development and improvement of forms and procedures related to the company's internal legal acquisition processes.
- Coordinating with and managing external counsel regarding strategic transactions.
- Collaborating with colleagues across the company, including in the corporate development, finance, and legal departments, to manage transactions from letter of intent to post-closing.
- Providing additional support as needed, including assistance with capital markets transactions, supporting investor relations and corporate communications tasks, and providing administrative and logistical support for board of directors and committee matters.

Education and Experience Information:
- The candidate must hold a Juris Doctorate from an accredited institution of higher education.
- Membership in a state bar in good standing is required.
- The candidate should have a minimum of 2 to 4 years of transactional experience at a sophisticated law firm or corresponding in-house experience with a sophisticated purchaser.
- Experience in the financial services industry is a plus.
- Substantial transactional expertise in mergers and acquisitions and/or venture capital financing transactions is required.

- Strong organizational and project management skills, with the ability to handle multiple transactions and manage deadlines in a fast-paced and demanding work environment.
- Excellent drafting, negotiating, and communication skills.
- Ability to interface well with business executives in real-time to problem-solve and provide independent judgment.

Salary Information:
The pay range for this position is $141,800 to $236,400 per year. Actual base salary varies based on factors such as relevant skills, prior experience, education, base salary of internal peers, demonstrated performance, and geographic location.
