Job Title:
Sr. Manager / Sr. Counsel: Commercial Bank - Corporate Lending

Job Responsibilities:
- Collaborate directly with business partners to structure and negotiate middle-market corporate lending transactions.
- Review and negotiate loan and collateral documentation, providing guidance to business partners on market terms.
- Identify and assess legal risk, offering legal advice and support in resolving or escalating issues related to commercial lending transactions.
- Stay informed about legislation, regulations, case law, and market trends affecting the commercial bank’s lending activities and provide advice, guidance, and training to business lines.
- Handle all legal issues related to a portfolio of loans and collaborate with stakeholders across underwriting, risk, and legal to develop solutions.
- Manage relationships with outside counsel.
- Work alongside the company's enterprise regulatory, litigation, risk, and compliance teams on regulatory and compliance issues.
- Develop and maintain form loan documents.

Education and Experience Information:
- Juris Doctor from an accredited law school.
- Active member in good standing of at least one state bar.
- Minimum of 4 years of experience as an attorney in a law firm or in-house legal department focusing on commercial lending transactions.
- Preferred: 5+ years of experience as an attorney in a law firm or in-house legal department dealing with middle-market corporate commercial lending transactions, including cash flow, asset-based, and/or reserve-based lending.
- Experience with private equity sponsor-backed lending transactions is desirable.
- Knowledge of laws and regulations applicable to commercial lending is beneficial.
- Experience with lending to borrowers in sectors such as healthcare, food & beverage, energy (reserve-based lending), technology, media & telecom, aerospace, defense, and/or government contracting is advantageous.
- Proven ability to build effective relationships with multiple stakeholders and resolve issues across organizational borders.

Salary Information:
- McLean, VA: $193,000 - $220,300 for Sr. Manager, Sr. Counsel
- New York, NY: $210,500 - $240,300 for Sr. Manager, Sr. Counsel
- Richmond, VA: $175,500 - $200,300 for Sr. Manager, Sr. Counsel

Additional Information:
- The role is hybrid, requiring associates to spend 3 days per week in-person at one of the offices listed in the job posting. Fridays are enterprise-wide virtual workdays.
- This role is eligible for performance-based incentive compensation, which may include cash bonuses and/or long-term incentives (LTI).
