A law firm is seeking a Mid-Level Investment Funds Associate Attorney to join their Chicago, IL office. The ideal candidate will have 4-6 years of significant experience in private equity fund formation and related matters. The role involves assisting private equity fund sponsors with fund formation, negotiating and preparing fund documentation, and understanding relevant securities regulations. Experience with private equity secondary transactions and GP-led restructurings is a plus.Duties and Responsibilities:Assist private equity fund sponsors with fund formation matters, including the preparation, negotiation, and finalization of private placement memoranda, partnership agreements, and ancillary documents.Review and negotiate fund documentation on behalf of institutional investors.Structure and draft governing documents for private equity fund management companies and general partners.Provide legal advice on various aspects of private equity fund operations and management.Ensure compliance with relevant securities rules and regulations, including the Investment Advisers Act.Handle private equity secondary transactions and GP-led restructurings as needed.Collaborate with clients to address legal issues and provide strategic guidance.Manage and prioritize multiple projects and deadlines effectively.Stay updated on industry trends and regulatory changes impacting private equity funds.Requirements:4-6 years of significant experience in private equity fund formation and related matters.Experience at a large law firm or in-house setting preferred, but special circumstances may be considered.Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.Experience with private equity secondary transactions and GP-led restructurings is advantageous.Strong analytical, drafting, and negotiation skills.Ability to work independently and collaboratively in a team environment.Education and Certifications:Juris Doctor (JD) degree from an accredited law school.Admitted to the State Bar and in good standing.Skills:Expertise in private equity fund formation, including drafting and negotiating fund documentation.Solid understanding of securities regulations and compliance requirements.Excellent drafting, analytical, and negotiation abilities.Strong communication and interpersonal skills.Effective project management and organizational skills.Proactive, detail-oriented, and client-focused approach.Benefits Offered:Competitive salary.Comprehensive medical, dental, and vision insurance.Life and disability insurance.401(k) retirement plan.Paid time off and holidays.
