Job Title: Corporate Counsel
Job Responsibilities:
- Assist with corporate and securities law matters, including preparing SEC filings such as registration statements, Forms 10-K, 10-Q, and 8-K, and Section 16 reports. This involves participating in all aspects of the public reporting process, from drafting reports to preparing remarks for investor calls.
- Collaborate with the Corporate Legal team on issues related to securities, corporate governance, acquisitions, and investments.
- Manage corporate governance and administration for the company and its domestic and international subsidiaries. This includes overseeing international outside counsel, managing local filings, reviewing international statutory accounts, and administering corporate records.
- Develop relationships across the company by collaborating with cross-functional teams, including executive team, finance, accounting, tax, stock administration, people, strategy, and engineering.
- Assist in creating and improving processes, agreements, and document templates.
- Advise clients on business and legal issues and risks, company policies, and business strategy.
- Assist with other matters as needed.
Education and Experience Information:
- Minimum qualifications include a . from an accredited university and active membership in at least one . State bar.
- Requires 4+ years of experience practicing corporate law.
- Preferred qualifications include in-house corporate law experience.
Salary Information:
- In the United States, work locations are assigned a pay zone which determines the salary range for the position. The starting pay is determined based on job-related skills, experience, qualifications, work location, and market conditions, and may be negotiable within the salary range for the position.
- Zone A (CA, WA, NYC): The base salary range is $173,000-$259,000 annually.
- Zone B: The base salary range is $164,000-$246,000 annually.
- Zone C: The base salary range is $147,000-$220,000 annually.
- This position is eligible for equity in the form of RSUs.
