Job Title: Manager (Counsel): Commercial Bank - Corporate Lending
Job Responsibilities:
The Manager (Counsel) for the Commercial Bank - Corporate Lending role involves a comprehensive range of responsibilities pivotal to supporting the Corporate Banking business within the company’s Commercial Bank. The position requires the attorney to be a key player in providing real-time legal advice on lending transactions and strategic initiatives. The role includes working closely with internal business partners, senior management, and both internal and external legal counsel to deliver innovative and commercial solutions that optimize the commercial lending business. Specific responsibilities include:
- Collaborating directly with business partners to structure and negotiate middle-market corporate lending transactions.
- Reviewing and negotiating loan and collateral documentation while guiding business partners on market terms.
- Identifying and assessing legal risks and offering legal advice and assistance in resolving or escalating matters related to commercial lending transactions.
- Staying current with legislation, regulations, case law, and market trends that affect the commercial bank’s lending activities, and providing advice, guidance, and training to the lines of business.
- Managing all legal issues related to a portfolio of loans and collaborating with stakeholders across underwriting, risk, and legal departments to find effective solutions.
- Managing the relationship with outside counsel.
- Working with the company’s enterprise regulatory, litigation, risk, and compliance teams on regulatory and compliance issues.
- Developing and maintaining form loan documents.
Education and Experience Information:
The position requires a Juris Doctor degree from an accredited law school. The candidate must be an active member in good standing of at least one state bar and should have at least 3 years of experience as an attorney in a law firm or an in-house legal department working on commercial lending transactions. Preferred qualifications include:
- At least 4 years of experience as an attorney in a law firm or an in-house legal department working on middle-market corporate commercial lending transactions, including cash flow, asset-based, and/or reserve-based lending.
- Experience with private equity sponsor-backed lending transactions.
- Knowledge of laws and regulations applicable to commercial lending.
- Experience with lending to borrowers in industries such as healthcare, food & beverage, energy (reserve-based lending), technology, media & telecom, aerospace, defense, and/or government contracting.
- Demonstrated ability to build collegial and effective relationships with multiple stakeholders and resolve issues across organizational borders.
Salary Information:
The salary for the Manager, Counsel role varies by location. The minimum and maximum full-time annual salaries for this position are as follows:
- McLean, VA: $158,400 - $180,800
- New York, NY: $172,800 - $197,200
- Richmond, VA: $144,000 - $164,400
Candidates hired to work in other locations will be subject to the pay range associated with that location, and the actual annualized salary amount offered to any candidate at the time of hire will be reflected solely in the candidate’s offer letter. This role is also eligible for performance-based incentive compensation, which may include cash bonuses and/or long-term incentives (LTI). Incentives could be discretionary or non-discretionary depending on the plan.
Additional Information:
- This is a hybrid role where associates are expected to spend 3 days per week in-person at one of the company’s offices listed in the job posting, with Fridays designated as enterprise-wide virtual workdays.
