Job Title: Vice President, General Counsel
Job Responsibilities:
The Vice President, General Counsel is tasked with overseeing and managing all legal services provided to the organization to ensure the protection of its legal rights and the smooth operation of its activities. This position provides strategic guidance, consultation, and support to the leadership team and advises on a comprehensive range of legal and associated issues involved in carrying out the mission of the organization. The core focus of this role is the oversight of all legal aspects of the organization’s financing and lending operations, particularly ensuring borrower loan documents are accurate, state-specific, and compliant with lending guidelines. The role requires a strong knowledge of CDFI financial regulations, lending laws, and corporate governance.
Key responsibilities include:
- Advising leadership on legal and regulatory matters affecting nonprofit lending and community development finance.
- Drafting, reviewing, and negotiating contracts, loan documents, and participation agreements, and managing external counsel for the same.
- Ensuring compliance with federal and state financial regulations applicable to CDFIs and CDEs.
- Reviewing and negotiating the organization’s loan agreements, PRIs, and guaranty agreements.
- Selecting and retaining outside paid and pro bono counsel as required to obtain legal opinions or handle claims and litigation.
- Monitoring changes in laws and regulations relevant to nonprofit finance and lending.
- Providing legal advice on activities related to loan workouts and borrower default/delinquencies in collaboration with the Chief Credit Officer.
- Managing litigation, disputes, and relationships with external counsel.
- Collaborating with the executive team to develop, review, and implement internal policies to mitigate legal risks.
- Reviewing the organization’s contracts, leases, and other legal documents; researching legal issues and recommending revisions as necessary.
- Drafting, reviewing, and approving board resolutions, bylaws, and other governance-related matters.
Education and Experience Information:
- Juris Doctor (JD) from an accredited law school.
- Minimum of 10 years of legal experience, preferably in or working with CDFIs and/or the lending sector.
- Licensed to practice law, with a preference for New York State bar admittance.
- Strong understanding of CDFI lending laws and regulatory frameworks.
- Experience in negotiation, communication, and leadership skills.
- Proficiency with Microsoft Office Suite (required) and Salesforce (preferred).
- Knowledge of tax-exempt organizational law and LLCs.
Preferred Skills & Experience:
- Experience closing or managing New Markets Tax Credit investments.
- Experience in energy efficiency, affordable housing, and other emerging programs.
- Expertise in construction lending.
- Knowledge of various corporate structures, though the organization primarily works with nonprofit and governmental agencies.
Salary Information:
The salary range for the Vice President, General Counsel position is $190,000 - $210,000. The organization is committed to discussing the depth and breadth of each candidate’s background and experience during the interview process to determine the best offer while considering internal pay equity.
