Senior Counsel (Transactional)
Job Responsibilities:
The Senior Counsel (Transactional) at the company is responsible for providing strategic legal advice across a wide range of corporate, transactional, governance, and compliance matters. Key responsibilities include:
- Securities Law & Corporate Governance: Drafting, reviewing, and managing public company filings such as 10-Ks, 10-Qs, 8-Ks, proxy statements, and insider trading reports; coordinating Board of Directors and committee meetings; ensuring compliance with NASDAQ listing standards.
- Subsidiary Governance: Designing and overseeing corporate governance frameworks for subsidiaries; maintaining board structures and corporate records; driving legal entity rationalization initiatives.
- Mergers & Acquisitions: Leading legal aspects of corporate acquisitions, divestitures, and joint ventures; managing due diligence teams and negotiating transaction documents; overseeing post-closing integration and restructuring activities.
- Capital Structure & Finance Support: Providing legal support for corporate finance activities, including credit facilities and other capital transactions.
- Equity Compensation & Executive Pay: Administering equity incentive plans; collaborating with HR and external consultants on executive compensation and disclosure matters.
- Intellectual Property: Managing the trademark portfolio and advising on brand protection strategies.
- Enterprise Reporting & Controls: Coordinating regulatory reporting across subsidiaries; supporting internal controls, disclosure processes, and Sarbanes-Oxley compliance.
- Ethics & Corporate Integrity: Maintaining the enterprise-wide Code of Conduct and ethics program; overseeing hotline reporting and investigations.
- Digital Transformation: Advising on legal implications of digital initiatives, including data governance, privacy, cybersecurity, and emerging technologies.
Education and Experience Information:
- . from an accredited law school; active and in good standing with at least one . state bar.
- Minimum of 8 years of relevant legal experience, preferably with a combination of in-house public company and top-tier law firm experience.
- Strong background in SEC reporting, corporate governance, M&A, and public company compliance.
- Demonstrated experience supporting executive leadership and Board-level matters.
- Excellent communication, writing, and interpersonal skills.
- Preferred experience in the construction, engineering, or industrial services sectors.
- Familiarity with digital transformation initiatives and related legal considerations is advantageous.
