Job Title: Senior Assistant General Counsel - IP

Job Responsibilities:

- Develop and implement strategies to protect and enhance the company's intellectual property assets.
- Draft, review, and negotiate IP-related agreements, including licensing agreements, confidentiality agreements, collaboration and joint development agreements.
- Support structuring and negotiating the intellectual property sections in manufacturing, packaging, development, purchase, supply, license, and master service agreements.
- Advise business unit personnel on intellectual property policies and issues, including validity, infringement, “ethical walls,” and inventorship.
- Oversee the preparation, filing, and prosecution of patent applications; manage patent portfolios and coordinate with external patent counsel.
- Handle trademark clearance, registration, and enforcement; manage trademark portfolios and coordinate with external trademark counsel.
- Provide advice, and work with external counsel on freedom to operate, validity, infringement, enforceability, and related matters.
- Oversee intellectual property litigation as needed; assist in merger and acquisition activity.
- Review and revise external communications on all commercial matters and scientific publications from an IP perspective.
- 10% global travel expectations annually.
- Other duties as assigned.

Education and Experience Information:

- Juris Doctor (JD) degree from an accredited law school is required.
- Minimum of 6+ years of intellectual property experience with a well-established law firm and/or corporate legal department, focusing on pharmaceutical, biotechnology, or other regulated industry legal matters.
- Admission to practice in New York, New Jersey, or Pennsylvania (in-house admission is acceptable) is required.
- Fluency in French, German, Italian, Portuguese, or Spanish is preferred.
- Individual may be required to sit, stand, walk regularly, and occasionally lift 0-15 pounds.
