Job Title: Commercial Counsel, YouTube Business Legal

Job Responsibilities:
- Negotiate, draft, and review intellectual property licenses with a focus on digital content distribution, specifically linear television distribution agreements for YouTube TV, YouTube's digital cable product, and a variety of technology, content, and marketing agreements.
- Handle the negotiation, drafting, and review of distribution agreements related to YouTube’s major media subscription and content offerings.
- Advise executive management, business clients, as well as finance, product, and other company colleagues on legal issues and risks, agreement structure, negotiation strategy, and company policies and procedures.
- Provide legal guidance to business development, strategy, product management, and marketing teams on compliance with applicable license agreements, United States regulatory matters, and internal approval processes.
- Support contractual analysis and diligence across existing agreements in support of product feature launches and enablement.

Education and Experience Information:
- Minimum qualifications include a JD, ., equivalent degree, or equivalent practical experience.
- A minimum of 7 years of attorney-level experience is required, which can be in-house, at a law firm, or in government.
- Experience with film and television distribution, intellectual property/agreement law, and agreement drafting is essential.
- The candidate must be admitted to the bar and in good standing or otherwise authorized to practice law (., have registered in-house status) in the state in which the position is located.
- Preferred qualifications include experience advising, drafting, and negotiating commercial transactions and content license agreements in the broadcast or cable television industry.
- Experience with emerging forms of content distribution, including direct-to-consumer and advertiser-supported content distribution, is preferred.
- Experience in drafting and negotiating complex content license agreements and familiarity with licensing various types of content including film, television, and sports rights is advantageous.
- An understanding of the United States communications law and the ability to escalate and present key issues to management is beneficial.

Salary Information:
- The US base salary range for this full-time position is $239,000-$337,000 plus bonus, equity, and benefits.
- Salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
