Counsel, Mergers & Acquisitions
Job Responsibilities:
The Counsel, Mergers & Acquisitions is responsible for providing legal advice, services, and training to support the company's acquisition, divestiture, and joint venture activities. This includes due diligence, contract drafting and negotiations, transaction closings, and integration activities. The role involves managing outside counsel and monitoring external counsel spending. Key responsibilities include:
- Providing legal advice to Corporate Development & Planning and other company deal team members, along with operations and senior leaders, on acquisitions, divestitures, joint ventures, equity investments, and other transactions globally.
- Conducting due diligence investigations and reviews of businesses being considered for transactions to understand operations and assess transaction-related risks and opportunities.
- Offering guidance and training on M&A topics and managing joint venture and equity investments.
- Supporting transaction structuring for acquisitions, divestitures, and joint venture transactions.
- Serving as a project manager on company transactions from a legal perspective, coordinating advice from other legal team members and outside counsel.
- Managing and supervising outside counsel on company transactions as necessary, including monitoring and forecasting external spending.
- Drafting contracts for company transactions and supporting contract negotiations, transaction closings, and integration activities. Preparing and supporting the preparation of due diligence reports and other transaction report-outs.
- Developing and instituting standardized processes for company transactions and post-transaction requirements, as well as for joint venture and equity investment management.
- Supporting and performing other activities and services provided by the company legal team and participating in and leading other legal team initiatives as necessary.
Education and Experience Information:
- A minimum of 6 years of experience post-law degree in mergers and acquisitions transactions work is required.
- A Bachelor's Degree from an accredited institution and a Juris Doctorate (JD) from an accredited institution are required.
- Prior experience with M&A and other corporate transactions, including joint ventures and equity investing, as well as cash management, tax strategy, transfer pricing, and joint venture management, is strongly preferred.

Salary Information:

The expected annual salary range for this role is $158, to $232,. This role is also eligible for a variable incentive program.
