Job Title: Counsel or Senior Counsel
Job Responsibilities:
- Provide guidance on risk management and ensure adherence to company policies.
- Review, draft, and negotiate contracts, subcontracts, and other legal documents related to architecture, engineering, construction, environmental, and other services offered by the company to clients in both public and private sectors.
- Handle documents related to teaming arrangements, joint ventures, confidentiality agreements, licenses, purchase and sales agreements, insurance, and other relevant legal matters.
- Negotiate and draft contracts for infrastructure projects using alternative delivery mechanisms such as design-build, progressive design-build P3, and EPC.
- Advise and provide legal support to teams during the procurement and delivery of heavy civil, transit, water, aviation, energy, and social infrastructure projects.
- Act in an advisory capacity, making recommendations that significantly impact the conduct of the organization’s business.
- Collaborate with management and staff to resolve pre-litigation disputes and potential claims.
- Supervise and manage litigation, including professional liability, breach of contract, and personal injury/wrongful death matters, by utilizing outside counsel to optimize quality and cost-effectiveness.
- Manage external counsel and litigation budgets.
- Handle subpoenas, document requests, and other litigation-related items with limited support staff.
- Prepare and review disclosures to public agencies and support corporate secretary functions.
- Conduct research into legislation, cases, legal precedents, and emerging government policies to address contract-specific or other matters.
- Prepare and review legal memoranda and briefs relating to organizational risks and activities.
- Provide guidance on compliance with federal and provincial laws, statutes, and regulations.
- Offer support to multiple offices and assist other team members within the broader West Region as necessary based on experience and workload.
- Support the legal department’s goals of diversity, equity, and inclusion within the department, the company, and outside vendors.
Education and Experience Information:
- For Counsel: . Degree from an accredited law school with a minimum of 5 years of relevant experience or demonstrated equivalency of experience and/or education.
- For Senior Counsel: . Degree from an accredited law school with a minimum of 7 years of relevant experience or demonstrated equivalency of experience and/or education.
- Must be a member in good standing with any . state bar.
- Demonstrated legal experience with a major engineering company, contractor, consultant, or law firm specializing in engineering and construction law.
- Capable of presenting before senior management and working independently with minimal oversight.
- Proven experience in drafting and negotiating professional services and construction-related agreements.
- Proficiency in MS Word, Excel, and PowerPoint.
- Ability to travel periodically, approximately 10%.
Preferred Qualifications:
- Prior experience at an engineering, architecture, or construction company.
- Well-developed communication skills; ability to clearly express legal issues and analysis to executive management, commercial and finance colleagues, technical colleagues, and peers.
- Outgoing, personable, and a team player.
- Self-driven and resourceful to achieve goals independently and in groups.
- Flexible to adjust and thrive in an environment with changing requirements, schedules, and priorities.
- Ability to generate ideas, make recommendations, and reach consensus.
- Excellent writing, presentation, and meeting facilitation skills.
Salary Information:
- Offered compensation will be based on location and individual qualifications. The expected range is $165, - $200,.
