A prestigious law firm in New York City is looking for a Private Fund / Debt Financing Associate Attorney to join its growing team. This is an exciting opportunity for an attorney with at least three years of experience in the realm of fund financing to work with top-tier clients in the private equity sector. The successful candidate will engage in complex debt financing transactions, providing solutions to fund sponsors and investors while gaining exposure to cutting-edge legal matters in structured finance and capital markets.

Key Responsibilities:

  • Advise private equity fund sponsors, lenders, and investors on a variety of debt financing solutions, including collateralized fund obligations (CFOs), rated note feeders, and NAV facilities.
  • Review, analyze, and provide insights on private equity fund documents, ensuring all relevant legal aspects are addressed in financing transactions.
  • Draft and revise debt financing agreements, ancillary documents, and other transactional documentation with a high level of precision and attention to detail.
  • Collaborate with senior attorneys and manage transactional workflows as part of a deal team, ensuring smooth execution of complex financing arrangements.
  • Support clients in structuring innovative and tailored financing solutions that align with their investment strategies and business objectives.
  • Assist in managing client relationships, maintaining effective communication, and providing exceptional service in a fast-paced, deadline-driven environment.
  • Stay current on legal developments, industry trends, and regulatory changes affecting private equity fund financing, structured finance, and capital markets.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school and admission to the state bar.
  • At least 3 years of experience working on debt financing transactions for private equity fund sponsors and investors.
  • Experience in collateralized fund obligations (CFOs), rated note feeders, and NAV facilities is strongly preferred.
  • Familiarity with private equity fund structures and prior work with fund sponsors or lenders to such sponsors.
  • A demonstrated interest in structured finance and capital markets, with the ability to quickly apply this knowledge to client matters.
  • Ability to manage multiple transactions simultaneously, with strong organizational skills and attention to detail.
  • Exceptional communication and drafting skills, with the ability to clearly articulate legal concepts and solutions.
  • Strong interpersonal skills with the ability to work effectively within a team and engage directly with clients.
  • A proactive, self-motivated approach, with a desire to learn and grow within a fast-evolving area of law.

Preferred Skills and Experience:

  • Exposure to structured finance products and a solid understanding of capital markets and the financial sector.
  • Client-facing experience with a strong ability to manage relationships and contribute meaningfully to business development efforts.
  • Ability to work independently while collaborating within a team setting.
