Job Overview:

A prominent law firm is seeking an experienced mid-level Corporate M&A Associate to join its highly regarded M&A team. Location:

Duties:

  • Lead and support on complex M&A transactions, providing legal advice and drafting key agreements.
  • Manage and facilitate due diligence processes.
  • Structure and negotiate deal terms for mergers, acquisitions, and other corporate transactions.
  • Work closely with senior attorneys and clients to navigate legal and business risks in M&A deals.
  • Draft and review key transaction documents, including purchase agreements, shareholder agreements, and financing arrangements.
  • Provide strategic legal advice to clients, particularly in the technology and life sciences sectors.
  • Maintain and develop client relationships, contributing to business development efforts.
  • Keep current on market trends and M&A laws to provide insightful advice.

Requirements:

  • 3-5 years of experience in M&A law at a leading corporate law firm.
  • Active member of the bar in the jurisdiction of the office for which application is made, or eligibility to sit/waive into the next bar exam.
  • Proven ability to manage complex transactions and work independently with minimal supervision.
  • Strong experience in negotiating and structuring M&A deals, including drafting and reviewing related legal documents.
  • Excellent written and verbal communication skills.
  • Ability to thrive in a fast-paced, high-pressure environment.
  • Strong interpersonal skills and a team-oriented approach to client service.

Education:

  • . from an accredited law school.

Certifications:

  • Active bar membership in the jurisdiction where the candidate will be working, or eligibility to sit/waive into the next bar exam.
