Job Overview:
A prestigious law firm, located in Boston, PA, is seeking a highly skilled mid-level associate with 3-5 years of experience in investment management and private funds. The ideal candidate will have experience in forming private investment funds such as hedge funds, venture capital funds, and/or private equity funds. This opportunity requires a deep understanding of structuring and drafting documentation for management entities and bonus and carry plans, as well as working on secondary transactions, including GP-led restructurings. Applicants should have familiarity with private fund structures, relevant regulations, and laws governing private funds and managers.

Duties:

  • Form private investment funds (hedge funds, venture capital funds, private equity funds)
  • Structure and draft documentation for upper-tier management entities, bonus plans, and carry plans
  • Work on secondary transactions, including GP-led restructurings
  • Assist with investments by institutional investors in private funds and co-investments
  • Collaborate with senior attorneys on complex fund formations and transactions

Requirements:

  • 3-5 years of experience at a large law firm
  • Strong background in private investment funds, including hedge funds, venture capital funds, and private equity funds
  • Experience with drafting fund formation documents, structuring management entities, and managing bonus and carry plans
  • Familiarity with secondary transactions and GP-led restructurings
  • Knowledge of the laws and regulations governing private funds and fund managers
  • Active membership in the Massachusetts Bar required

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Active Bar membership in Massachusetts
