Corporate Securities Associate
Duties: Overseeing projects from start to completion and drafting and reviewing documents without making any mistakes. Drafting complex interrelated documents. Securities Reporting – mastery of rules and regulations related to securities reporting including 10-Q’s, 10-K’s, 8-Q’s, etc. Securities—mastery of rules and regulations relating to private placement transactions and deal documents (venture capital financings, private equity and the like). Some familiarity and experience with public company securities reporting and drafting is expected. Preparing private placement memoranda based on boilerplate forms. Corporate—mastery of all things corporate (board fiduciary duties, general corporate agreements, board and stockholder actions, miscellaneous contract drafting, etc.) is an absolute must-have foundational skill to operate in this environment. Someone has been trained on these issues and can demonstrate experience working for serious companies in corporate matters. M&A—some experience providing due diligence and drafting support on merger and acquisition transactions is required. Licensing/Internet Agreements—some experience or understanding of internet agreements and/or licensing agreements is a plus.
