Redwood City office of a BCG Attorney Search Top Ranked Law Firm seeks a senior corporate and finance, mergers and acquisitions associate attorney with 5+ years of strategic M&A experience. The candidate will work closely with and learn from some of the most widely recognized M&A practitioners in the country. Should have in-depth experience in drafting and negotiating acquisition agreements and other transaction documents relating to acquisitions of both publicly traded and privately held companies; overseeing due diligence investigations of acquisition targets; preparing acquisition-related proxy statements, tender offer documents, information statements and other disclosure documents; and organizing closings of complex M&A transactions. Should be familiar with structuring M&A transactions, with the application of the federal securities laws to M&A transactions, and with Delaware jurisprudence relating to directors' responsibilities in the M&A area. Experience in working with publicly traded technology companies is also desirable. An interest in M&A thought leadership and knowledge management is also a plus, as is experience working with M&A-related financial advisors. Admission to the California bar is required.
