Duties and Responsibilities:
- Conduct due diligence on acquisition targets
- Draft and review transaction agreements
- Provide legal advice on mergers and acquisitions and general corporate matters
- Interact effectively with client teams and other stakeholders
- Ensure compliance with Delaware and New York corporate and federal securities laws
- Collaborate with other attorneys and legal staff to deliver high-quality legal services
- Stay updated on legal developments and changes in relevant laws
Requirements:
- 3-5 years of experience in mergers and acquisitions and general corporate matters
- Familiarity with Delaware and New York corporate and federal securities laws
- Excellent academic credentials
- Strong work ethic and interpersonal skills
- Large regional, national, or international law firm experience preferred
- Admitted to the Pennsylvania Bar
Education and Certifications:
- Juris Doctor (JD) degree from an ABA-accredited law school
- Member of the Bar in the United States
