Law Firm is actively seeking a Tax Associate to join our Executive Compensation, Employment & Benefits team. The successful candidate will have a minimum of 2 years of benefits & compensation experience and will be based in one of our offices in Los Angeles, Orange County, San Diego, San Francisco, or Silicon Valley.

The Tax Associate will be responsible for:

• Advising clients on a range of executive compensation, employment, and employee benefits matters, including:

o Designing, drafting, and implementing executive compensation and benefits arrangements;

o Advising clients on the tax, securities, and corporate law aspects of executive compensation and benefits arrangements;

o Advising clients on the tax, securities, and corporate law aspects of employee benefit plans;

o Drafting and negotiating employment agreements;

o Advising clients on the fiduciary duties of plan fiduciaries and plan sponsors;

o Drafting and negotiating plan documents;

o Advising clients on the tax, securities, and corporate law aspects of equity incentive plans;

o Drafting and negotiating stock option plans;

o Advising clients on the tax, securities, and corporate law aspects of employee stock ownership plans;

o Drafting and negotiating restricted stock plans;

o Drafting and negotiating deferred compensation arrangements;

o Advising clients on the tax, securities, and corporate law aspects of welfare benefit plans;

o Analyzing and advising clients on compliance with ERISA, the Internal Revenue Code, and other applicable laws;

o Analyzing and advising clients on the tax, securities, and corporate law aspects of proposed transactions; and

o Drafting and reviewing employee benefit and executive compensation related documents.

• Developing and maintaining relationships with clients.

• Assisting partners and senior associates with legal research, drafting, and other tasks as needed.

• Participating in business development and marketing efforts.

• Handling client service and other administrative matters.

• Representing the firm in a professional and ethical manner.

• Supporting the firm’s commitment to diversity and inclusion.

• Performing other duties as assigned.



Qualifications

• Juris Doctor degree and admission to a state bar.

• A minimum of 2 years of experience in the executive compensation, employment, and employee benefits practice area.

• Excellent research, writing, and communication skills.

• Ability to work independently and as part of a team.

• Ability to handle multiple tasks and prioritize competing demands.

• Ability to work in a fast-paced environment and meet deadlines.

• Demonstrated commitment to the practice of law and the highest ethical standards.
