A prestigious law firm in Pittsburgh, PA, is seeking a skilled Tax Associate Attorney with experience in mergers and acquisitions, transactional structuring, and business entity formation. The ideal candidate will play a critical role in advising clients on federal tax matters related to various corporate transactions.
Duties:
- Advise clients on federal transactional tax matters, including mergers, acquisitions, and entity structuring.
- Guide business entity formation, including choice of entity considerations.
- Draft and negotiate partnership agreements and other transactional documents.
- Collaborate with legal teams on structuring tax-efficient business transactions.
- Conduct legal research and analysis to support tax planning and compliance strategies.
- Ensure adherence to relevant tax laws and regulations.
Requirements:
- Minimum of 3 years of experience in federal transactional tax matters.
- Strong understanding of corporate transactions, including mergers and acquisitions.
- Experience with entity formation and tax structuring.
- Ability to draft and negotiate complex agreements.
- Excellent legal research, analytical, and problem-solving skills.
Education:
- Juris Doctor (.) degree from an accredited law school.
Certifications:
- Admission to practice law in at least one of the following jurisdictions: Pennsylvania, California, Florida, Illinois, Massachusetts, New Jersey, New York, Ohio, Oregon, Tennessee, or Washington, .
