Sheppard Mullin, a global Am Law 50 full-service law firm, is seeking a highly experienced Finance Associate Attorney to join our team in San Francisco. Our firm has over 1,100 attorneys across 16 offices worldwide, and our San Francisco office currently has over 100 attorneys practicing in various areas including Business Litigation, Corporate Transactions, Finance, Real Estate, Entertainment, and Intellectual Property.

Our Finance practice has been a cornerstone of the firm for over 90 years, and our commercial lending and financial transactions team is comprised of skilled attorneys specializing in highly structured financial transactions. We pride ourselves on providing innovative solutions and practical problem-solving skills to execute complex financial transactions for our clients.

As a Finance Associate Attorney with Sheppard Mullin, you will have the opportunity to work on a variety of structured finance transactions, including securitization and other capital markets transactions. We are looking for a candidate with at least four (4) years of experience in this area and who is knowledgeable about commercial law matters, including the uniform commercial code, securities law, and bankruptcy-related issues.

Key Responsibilities:

- Drafting complex commercial contracts, such as pooling and servicing agreements, administration agreements, indentures, and trust agreements
- Ability to draft applicable legal opinions, including bankruptcy opinions
- Experience managing financial transactions, including overseeing the work of junior associates, drafting and preparing transaction documents, and successfully closing transactions

Qualifications:

- At least four (4) years of experience in structured finance transactions
- Knowledgeable about commercial law matters, including the uniform commercial code, securities law, and bankruptcy-related issues
- Admission to and a member in good standing of the California Bar
- Resume, cover letter, and law school transcript required

Salary Information:

- Pay range: $365,000 to $390,000
