The Law Firm is seeking a Global Legal Consultant with extensive experience collaborating with international law firms to advise foreign clients with cross-border M&A transactions, international trade law, and international contractual and jurisdictional issues. This position requires an and two (2) years of experience.

The Global Legal Consultant will provide legal advice, guidance, and practical recommendations to clients and colleagues with material matters pertaining to Austrian & German transactional strategies. This position is responsible for:

• Negotiating, drafting, and reviewing cross-border German, Austrian, and . business transactions, including cross-border M&A transactions, distribution and supply agreements, franchise agreements, retail and services agreements, trade and customs issues, and investments.
• Collaborating with international law firms to advise foreign clients with cross-border M&A transactions, international trade law, and international contractual and jurisdictional issues.
• Drafting and negotiating letters of intent, purchase agreements, ancillary acquisition agreements, and managing the due diligence process.
• Researching cross-border legal issues and providing legal guidance and practical recommendations to clients and colleagues for review and action.
• Applying experience and understanding of German, Austrian, and . Corporate and Commercial Law.
• Drafting organizational documents (., articles of incorporation/association, stockholder agreements, partnership agreements, operating agreements, etc.) and documents to be filed with local registries in both Europe and the .
• Managing communication with other focus groups within the law firm to assist with foreign client requests, including employment agreements and equity arrangements for senior-level executives, immigration issues, litigation and product liability issues, economic incentives, and tax issues.
• Maintaining, updating, and revising contract template agreements, performing review and integration of customer/third-party contracts of acquired companies.
• Identifying opportunities to continually improve processes, procedures, and practices from a legal perspective.
• Providing recommendations to the leadership team to optimize and implement contract processes and standards, considering the needs of foreign clients in the .
• Maintaining working knowledge of Business and Corporate Law industry developments, trends, and best practices in order to assist clients in the fields of industrial manufacturing, automotive and engineering, health and life sciences, pharmaceuticals and medical equipment, software engineering/digitalization, real estate development, business consulting services, and retail.
