## Job Description - Associate: Tax - Transactional - Americas Law firm White & Case is looking for a mid-level to senior-level tax associate to support their growing renewable energy and energy transition practices. The ideal candidate should have excellent academic credentials, good judgment, excellent analytical skills, and the intellectual rigor to grasp the tax intricacies of complicated transactions involving partnership and tax credits. The successful candidate will need to have experience with renewable energy tax credits, project finance, and partnership and M&A transactions, preferably including negotiating and documenting tax equity transactions. They will also need to have strong oral and written communication skills to communicate complex tax analyses to partners, colleagues, and clients in a clear and succinct way. As an associate, you will take on significant responsibility from an early stage—preparing tax analyses, drafting memos and opinions, reviewing and marking up contracts, and negotiating with other side counsel. They should also have a proactive mindset that enables them to anticipate clients’ needs and independently develop solutions that add real value to their transactions. ## Qualifications * 4+ years of domestic taxation law experience, with background in partnership tax or tax credits * Strong academic record and intellectual curiosity, creative thinker * Commercial and business awareness * Outstanding communication skills * Strong time management skills, ability to stay calm under pressure when juggling multiple projects * Excellent drafting skills * Driven by professional growth * Strong professional presence * Client service focus * Team player * Strong judgment * Proactive, resourceful, takes initiative and a self-starter * Fluency in English * Admitted to the bar and in good standing ## Duties and Accountabilities * Negotiate and draft tax-related provisions for a variety of transaction documents including, but not limited to partnership agreements, purchase and sale agreements, credit agreements, and related documentation * Review and draft tax-related provisions of construction documents, offtake agreements (such as power purchase agreements), and other project documents * Draft memoranda and opinions on the qualification of projects for tax credits, structuring of investments, and related tax matters * Coordinate internal and external resources in the various competence areas necessary in project development, financing and other transactions ## Location & Reporting * This is an Associate role based in New York, Washington, DC Chicago or Houston. * Salary Range: $295,000 - $400,000 per year White & Case is an elite global law firm serving leading companies, financial institutions, and governments worldwide.
