A law firm in Dallas is seeking a Corporate - Restructuring and Special Situations Finance Associate Attorney with significant experience representing creditors or borrowers in liability management transactions, DIP financings, bankruptcy exit financings, and/or special situations financings. The Associate will collaborate primarily with the Global Finance team and the premier Business Restructuring and Reorganization team, working on high-profile representations involving hedge funds, CLOs, private equity funds, and other financial institutions in chapter 11 cases and out-of-court restructurings.

 

Duties:

  • Represent creditors or borrowers in liability management transactions, DIP financings, bankruptcy exit financings, and special situations financings.
  • Collaborate with the Global Finance team and Business Restructuring and Reorganization team on high-profile capital structure representations.
  • Conduct legal research and analysis related to restructuring and finance matters.
  • Draft and review legal documents, including financing agreements, restructuring plans, and court filings.
  • Provide strategic advice and counsel to clients regarding restructuring and special situations finance transactions.
  • Participate in negotiations with opposing counsel and other stakeholders.
  • Assist with due diligence reviews and analysis for restructuring transactions.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar and eligibility to practice law in Texas.
  • 5-8 years of experience in corporate restructuring and special situations finance.
  • Demonstrated experience representing creditors or borrowers in significant transactions.
  • Strong understanding of bankruptcy laws, financing structures, and capital markets.
  • Excellent analytical, communication, and negotiation skills.
  • Ability to work efficiently in a fast-paced, team-oriented environment.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admission to the State Bar and eligibility to practice law in Texas.

 

Skills:

  • Expertise in corporate restructuring and special situations finance transactions.
  • Strong legal research and writing skills.
