private fund formation experience, including drafting and negotiation fund documentation (private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings)
experience with fund raises from launch to close, including managing the entire project, to include interfacing with client, investor negotiation (including side letter negotiation and reviewing subscription documentation and managing subscription process), and closing mechanics
understanding of the investment advisers act and other federal securities laws, including regulation d offering requirements, and exemptions to the investment company act
large law firm experience required; prior in-house or regulatory experience is a plus
