Job Overview

A law firm is seeking a mid-level Corporate & Private Equity Associate to support its growing practice in either its Dallas or Pittsburgh office. This is an excellent opportunity for an attorney with experience in mergers and acquisitions (M&A), particularly those related to private equity-led transactions. The candidate will be involved in a wide range of private equity transactions, including leveraged buyouts, minority and junior capital investments, rollups, and acquisitions for private equity funds.

Duties

  • Support and manage all aspects of private equity transactions, including leveraged buyouts, “going private” transactions, and acquisitions.
  • Lead M&A transactions from start to finish, including drafting and negotiating complex transactional documents.
  • Represent clients in private equity, growth equity, venture capital, mezzanine, and real estate fund formations.
  • Work on purchases of troubled companies, both in and out of bankruptcy.
  • Collaborate with clients, general partners, limited partners, and colleagues in private equity, venture capital, and related sectors.
  • Provide counsel on a broad range of M&A and corporate matters, ensuring clients meet their business objectives.

Requirements

  • 3 to 6 years of experience in mergers and acquisitions, with a preference for private equity-led M&A transactions or acquisitions for private equity funds.
  • Experience leading M&A transactions, including negotiating and drafting complex transactional documents.
  • Ability to work independently with clients and colleagues, managing transactions from start to finish.
  • Strong academic record from an ABA-accredited law school.
  • Excellent writing, oral communication, and analytical skills.
  • Pennsylvania Bar admission is required.

Education

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications

  • Admission to the Pennsylvania Bar is required.

  • Strong background in mergers and acquisitions, particularly in private equity transactions.
  • Proficiency in drafting and negotiating complex transactional documents.
  • Excellent written and verbal communication skills.
  • Ability to manage transactions and work independently.
  • Strong interpersonal and client relationship management skills.
