Job Summary:
We are seeking experienced associates with 3-5 years of experience in complex credit fund formation and insurance solutions for private fund sponsors. Our market leading team at a top law firm assists global asset managers and sponsors in the structuring and formation of complex credit private funds and structured credit funds. Responsibilities:
- Work with private credit or CLOs (collateralized loan obligations)
- Draft and negotiate fund documentation (private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings)
- Manage the entire project of fund raises from launch to close
- Interface with clients and negotiate with investors, including side letters and subscription documentation
- Understand federal securities laws and regulations related to investment advisers and investment companies

Requirements:
- 3-5 years of experience in complex credit fund formation and insurance solutions
- Prior work with private credit or CLOs is a plus
- Experience with private fund formation and drafting/negotiating fund documentation
- Strong understanding of federal securities laws and regulations
- Large law firm experience required

experience with fund raises from launch to close, including managing the entire project, to include interfacing with client, investor negotiation (including side letter negotiation and reviewing subscription documentation and managing subscription process), and closing mechanics
understanding of the investment advisers act and other federal securities laws, including regulation d offering requirements, and exemptions to the investment company act is helpful
