Job Description:

McGuireWoods, a top corporate law firm, is seeking a Fund Formation Associate for their Dallas office. This position will be a part of the Corporate and Private Equity Department, which consists of over 70 attorneys focusing on private equity transactions.

The department handles a variety of private equity transactions, including leveraged buy-outs, independent sponsor transactions, rollups, minority and junior capital investments, "going private" transactions, and purchases of troubled companies. They also have a dedicated team representing general partners and major limited partners in forming private equity, venture capital, mezzanine, and real estate funds. McGuireWoods is consistently ranked among the top corporate law firms by industry publications such as Bloomberg, Mergermarket, and Refinitiv.

Job Requirements:

The ideal candidate will have 2-6 years of experience at a large law firm, specifically in representing private fund sponsors and institutional investors in complex fund formation matters. They will be responsible for all aspects of forming, structuring, raising capital, ensuring compliance, and managing alternative investment funds in various strategies, including private equity, real estate, mezzanine, and hedge funds. This position will also involve working on related capital raising transactions and managing equity investments for independent sponsors.

Applicants should have the following qualifications:

- Experience drafting limited partnership agreements and limited liability company agreements for private investment funds.
- A strong understanding of market fund terms and the negotiation process for fund offerings.
- Experience reviewing and identifying issues in fund documents on behalf of institutional investors.
- Knowledge of preparing offering documents, including PPMs, and familiarity with securities laws governing private placements.
- Familiarity with the Advisers’ Act and related exemption, registration, and compliance issues for fund managers.
- Strong interpersonal skills and the ability to work with legal and business professionals from start to finish.
- Excellent academic record, written and oral communication skills, and ability to work independently with clients and colleagues.
