Duties:

  • Represent private fund sponsors and institutional investors on:
    • Fund formation matters.
    • Co-investments and secondary transactions.
  • Draft, review, and negotiate fund formation documents and related agreements.
  • Advise clients on legal and regulatory issues related to private equity funds.
  • Assist clients in structuring and closing complex transactions.
  • Conduct thorough due diligence and analysis of fund-related matters.
  • Collaborate with colleagues across practice areas to provide comprehensive legal solutions.

Requirements:

  • 4–7 years of experience in private equity fund formation.
  • Proven experience working with private fund sponsors and institutional investors.
  • Strong analytical skills with the ability to address complex legal issues.
  • Exceptional written and verbal communication skills.
  • Ability to manage multiple assignments in a fast-paced environment while meeting deadlines.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Illinois State Bar and in good standing.

Skills:

  • Expertise in fund formation, co-investments, and secondary transactions.
  • Proficiency in drafting and negotiating complex legal documents.
  • Strong research and problem-solving capabilities.
  • Excellent interpersonal skills to build and maintain client relationships.
  • Ability to work collaboratively within a team-oriented setting.
