Morrison Foerster LLP, an Am Law 50 law firm with 18 offices worldwide, is seeking a Contracts & Compliance Counsel to join our Conflicts department. This is a unique opportunity to act as in-house counsel and work with a dynamic team of professionals in our San Francisco, New York, or Washington, . office.

About the Role

As Contracts & Compliance Counsel, you will have a crucial role in reviewing and responding to client Outside Counsel Guidelines (OCG), engagement letters, and related documents. This includes negotiating provisions and amendments with Firm partners and clients, as well as working with Firm management and staff to improve OCG and engagement letter review and compliance processes. Your responsibilities will include:

- Acting as formally designated In-House Counsel to the Firm
- Reviewing, negotiating, and approving client OCGs and Standard Engagement Letters
- Identifying and developing standard positions and responses on OCG provisions
- Communicating and working with Relationship Partners on necessary amendments
- Expediting OCG review and finalization
- Applying advanced techniques to analyze and compare OCG provisions
- Demonstrating detailed knowledge of business needs and Firm objectives
- Assisting in OCG and engagement letter process, compliance, and risk management training

Who We're Looking For

Our ideal candidate is a highly motivated individual with a . and admission to practice in a . jurisdiction. You should have at least four years of practical experience, including contract review and direct client interaction. Excellent communication skills, familiarity with standard business software, and a commitment to quality and continuous improvement are also required. Knowledge of professional responsibility rules and standards is preferred.

Salary Information

At Morrison Foerster, we value our employees and offer competitive compensation packages. Salary ranges for this position are as follows:

- New York, San Francisco: $200k to $260k
- Washington, .: $160k to $220k

Please note that additional compensation may include a discretionary bonus, overtime, health/welfare benefits, retirement contributions, paid holidays, and PTO. The displayed range is specific to the cities and states where the position will be performed and may vary based on market data, an applicant's skills and experience, and certain degrees, licensing, and certifications.
