Job Overview: A prominent law firm is seeking a highly qualified midlevel associate with law firm experience to join its investment management practice group in New York. The ideal candidate will have between three to five years of experience in forming private investment funds, secondary transactions, and assisting institutional investors in private funds and co-investments. Familiarity with private fund structures and laws and regulations governing private funds is essential. Excellent academic credentials, strong organizational, writing, and analytical skills are required. New York bar membership is mandatory.

Location:

  • New York, NY

Duties:

  • Form private investment funds such as hedge funds and private equity funds.
  • Work on secondary transactions, including reviewing purchase and sale agreements, transfer agreements, and client management.
  • Assist with investments by institutional investors in private funds and co-investments.
  • Provide legal advice and support related to private fund structures, laws, and regulations.
  • Maintain strong client relationships and manage client communications.
  • Collaborate with senior attorneys and other team members on complex legal matters.

Requirements:

  • Between 3-5 years of law firm experience in investment management or private funds.
  • Solid understanding of private fund structures and regulations governing private funds and managers.
  • Strong organizational, writing, and analytical skills.
  • Ability to handle complex legal matters and manage multiple tasks.
  • Excellent communication and client management skills.
  • New York bar membership required.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • New York State Bar Admission.

Skills:

  • Expertise in forming private investment funds (hedge funds, private equity funds).
  • Knowledge of secondary transactions, purchase and sale agreements, and transfer agreements.
  • Experience assisting institutional investors in private funds and co-investments.
  • Strong analytical and problem-solving abilities.
