Chicago office of a **Members Only** Top Ranked Law Firm seeks transactional associate attorney with 3-6 years of substantive experience with corporate and M&A, private equity, commercial lending, and real estate transactions. The candidate will have a working knowledge and understanding of corporate transactional work in M&A, private equity, commercial real estate, and commercial loan transactions. Will conduct due diligence, compliance, and contract reviews. Draft corporate formation documents and other supporting documentation for transactions, including disclosure schedules, corporate board resolutions, and diligence matrices. Review, draft and negotiate commercial contracts, memoranda, and other documentation. Must have experience with contract review, trademark, and copyright.
