A law firm seeks a seasoned attorney at the senior associate or counsel level to join its Securities and Capital Markets practice. The role offers the opportunity to work with a diverse client base, including issuers and investment banks, advising on securities offerings, regulatory compliance, and corporate governance matters. The position is based in Albany, NY, with hybrid work options available. Remote candidates may also be considered.

Duties

• Advise clients on public and private securities offerings, including drafting and negotiating related documentation.
• Represent issuers and investment banks in securities transactions, ensuring compliance with applicable laws and regulations.
• Counsel publicly traded companies on compliance with the Securities Exchange Act of 1934.
• Guide exchange listing standards and corporate governance practices.
• Collaborate with cross-disciplinary teams to address complex legal issues.
• Stay up-to-date on securities laws, regulatory developments, and industry trends to provide informed advice to clients.

Requirements

• Minimum of 8 years of relevant experience in securities and capital markets law.
• Strong background in advising on securities offerings, regulatory compliance, and corporate governance.
• Proven ability to manage complex legal matters and collaborate within a team-oriented environment.
• Excellent oral and written communication skills.
• Enthusiasm for client service and the ability to proactively address client needs.

Education

• Juris Doctor (.) degree from an accredited law school.

Certifications

• Active license to practice law in at least one . jurisdiction.
