A law firm in Pittsburgh, PA, is seeking a talented Corporate Funds and Private Equity Associate Attorney with 4-6 years of experience in investment funds and investment management. The ideal candidate will have substantial experience representing private equity sponsors and/or agents in a broad range of transactions. The role demands a creative, solutions-oriented individual with strong analytical and writing skills. Candidates must be licensed and in good standing in the state of Pennsylvania.

Duties and Responsibilities:

  • Provide expert legal advice on matters related to investment funds, including private equity, venture capital, and hedge funds.
  • Represent private equity sponsors and agents in various transactions, including fund formation, capital raising, and investment structuring.
  • Draft, review, and negotiate key legal documents such as partnership agreements, subscription agreements, and offering memoranda.
  • Conduct comprehensive legal research and prepare detailed reports, memoranda, and other legal documentation.
  • Assist in structuring and negotiating investment transactions, including mergers and acquisitions, joint ventures, and strategic investments.
  • Ensure compliance with relevant securities laws and regulations governing investment funds and private equity.
  • Collaborate with clients and colleagues to develop and implement effective legal strategies.
  • Stay updated on legal and regulatory changes affecting investment funds and private equity.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Proven experience in representing private equity sponsors and/or agents in various transactions.
  • Strong ability to handle complex legal issues related to investment funds and private equity.
  • Creative and solutions-oriented approach with robust analytical and problem-solving skills.
  • Excellent writing and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed and in good standing to practice law in the state of Pennsylvania.

Skills:

  • In-depth knowledge of investment funds and private equity law.
  • Proficient in drafting and negotiating complex legal documents.
  • Strong analytical and research skills.
