Job Summary:
- Seeking a junior to mid-level associate for our fund formation and investment management team
- Position can be filled in Miami or Chicago office
- Focus on meeting the needs of private equity, venture capital, and hedge fund managers
- Responsibilities include assisting sponsor clients in forming and structuring entities, managing fundraising processes, and advising on investment opportunities
- Candidates should have experience in fund formation and investment adviser work, as well as a genuine interest in practicing as a private funds lawyer

Job Requirements:
- Minimum of 2 and maximum of 6 years of experience in a large law firm setting
- Strong academic history and excellent written and verbal communication skills
- Basic understanding of entity types from a tax perspective and federal securities laws preferred
- Must be admitted to practice in the jurisdiction where applying or eligible for admission

Key Responsibilities:
- Assist sponsor clients in forming and structuring entities and managing fundraising processes
- Advise clients on investment opportunities and regulatory requirements
- Draft language for fund agreements and have a basic understanding of entity types and federal securities laws
- Take on responsibility, multi-task, and work in a fast-paced environment
- Strong academic background and excellent communication skills

Qualifications:
- 2-6 years of experience in a large law firm setting
- Genuine interest in practicing as a private funds lawyer
