Job Overview: A law firm in Houston, TX is seeking a highly skilled Investment Funds Corporate Associate Attorney with a minimum of 3 years of experience in private equity fund formation and related fund operational matters. This attorney will be responsible for providing legal guidance on investment funds, assisting in the formation of private equity funds, and handling various operational issues. The ideal candidate will have a strong background in corporate law, exceptional analytical skills, and the ability to manage complex legal transactions.

Duties:

• Provide legal advice and counsel on private equity fund formation, including structuring and drafting fund documentation.
• Assist with the creation and negotiation of partnership agreements, investment management agreements, and related fund operational documents.
• Conduct legal due diligence for private equity transactions and investment opportunities.
• Support clients in regulatory compliance matters and ensure adherence to relevant laws and regulations.
• Manage and coordinate with clients, internal teams, and external advisors to facilitate fund formation and operational processes.
• Stay updated on industry trends, legal developments, and regulatory changes affecting private equity funds and investment operations.
• Prepare and review legal opinions, memoranda, and other documentation as required.
• Represent clients in negotiations and transactions involving private equity funds.

Requirements:

• Minimum of 3 years of experience in private equity fund formation and related fund operational matters.
• Demonstrated experience with investment funds and corporate law.
• Proven ability to handle complex legal transactions and provide sound legal advice.
• Strong analytical and problem-solving skills.
• Excellent written and verbal communication skills.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to the State Bar of Texas.
